2. Description of Service

BusinessList Nigeria provides a digital marketplace platform that connects Nigerian businesses with potential customers. Our service includes business listings, product showcases, advertisement solutions, and related features. We reserve the right to modify, suspend, or discontinue any aspect of our service at any time.

3. User Accounts

To access certain features of our platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for safeguarding your password and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

4. Business Listings

When you create a business listing on our platform, you represent and warrant that: all information provided is accurate and truthful, you have the right to list the business, products, or services, your listing does not violate any applicable laws or regulations, and you will not engage in fraudulent, misleading, or deceptive practices. We reserve the right to remove any listing that violates these terms.

5. Premium Subscriptions

Premium subscriptions are available at ₦50,000 per year and include verified badges, enhanced visibility, social media promotion, ad placements, and other premium features. Subscription fees are non-refundable except as required by law. We reserve the right to modify subscription pricing with 30 days notice to existing subscribers.

6. Content Guidelines

You agree not to post content that: is illegal, harmful, threatening, abusive, or discriminatory; infringes on intellectual property rights; contains viruses or malicious code; is spam or unsolicited advertising; or violates any applicable laws. We reserve the right to remove any content that violates these guidelines.

7. Intellectual Property

The BusinessList Nigeria platform, including its original content, features, and functionality, is owned by Alderwood Management Limited and is protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of our platform without express written permission.

8. Advertising and Promotions

Our platform offers advertising solutions for businesses. All advertisements must comply with our advertising policies and applicable laws. We reserve the right to reject or remove any advertisement at our discretion. Advertisers are responsible for the content of their advertisements.

9. User Conduct

You agree to use our platform only for lawful purposes and in a way that does not infringe the rights of others or restrict their use of the platform. Prohibited conduct includes but is not limited to: harassment of other users, attempting to gain unauthorized access to our systems, interfering with the proper functioning of the platform, and engaging in any fraudulent activity.

10. Third-Party Links

Our platform may contain links to third-party websites or services. We are not responsible for the content, privacy policies, or practices of third-party sites. You access these links at your own risk and should review their terms and conditions.

11. Disclaimers and Limitations of Liability

BusinessList Nigeria is provided "as is" without warranties of any kind. We do not guarantee the accuracy, completeness, or reliability of any content on our platform. We are not liable for any direct, indirect, incidental, or consequential damages arising from your use of our platform. We do not endorse or verify the businesses, products, or services listed on our platform.

12. Indemnification

You agree to indemnify and hold harmless BusinessList Nigeria, Alderwood Management Limited, and their officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses arising from your use of the platform, violation of these terms, or infringement of any rights of another party.

13. Termination

We reserve the right to terminate or suspend your account and access to our platform at any time, without prior notice, for conduct that we believe violates these Terms of Service or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.

14. Dispute Resolution

Any disputes arising from these Terms of Service or your use of our platform shall be resolved through good faith negotiations. If negotiations fail, disputes shall be subject to the exclusive jurisdiction of the courts in Lagos, Nigeria.

15. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

16. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify users of any material changes via email or through a notice on our platform. Your continued use of the platform after changes are posted constitutes acceptance of the modified terms.
